OUTSIDE GENERAL COUNSEL

The Firm offers a unique, fixed price outside general counsel service for young and fast-growing businesses that have not yet achieved the size to justify an in-house legal department. Services are customized to meet the demands of the business and can be ramped up or ramped down as needed. This is a great solution for a business that needs to conserve resources and control its legal budget. All of the senior members of the Firm have experience serving as General Counsel in private industry and understand that commercial mandates must take precedence over legal dogma. Legal bills are predictable and not subject to change without the client’s consent.

PETROLEUM REFINING AND MARKETING

The Firm is experienced in all aspects of the Petroleum Refining and Marketing Industries. Members of the Firm have first-hand experience in negotiating Crude Oil Supply Agreements, Product Supply Agreements; Catalyst Purchase and Sale Agreements; Wastewater Treatment Services; Deep Well Services; Environmental Services Agreements; Tolling and Intermediation Agreements; Managed Inventory Agreements, and Maintenance and Turnaround Agreements. In addition, the Firm has provided support to sales and marketing teams, including agency, distributorship and exchange agreements.

CHEMICAL AND PETROCHEMCIALS

The Firm is experienced in all aspects of the Chemical and Petrochemical Industries. Members of the Firm have first hand experience in negotiating Industrial Gas Agreements, Guest and Shared Facilities Agreement; Joint Operating Agreements; Product Development Agreements; Pilot Plant and Research Agreements; Feedstock Supply Agreements, Catalyst Purchase and Sale Agreements; Raw Materials Supply Agreements; Procurement and Offtake Agreements. In addition, the Firm has provided support to sales and marketing teams, including agency, distributorship and exchange agreements.

LOGISTICS, WAREHOUSING AND TERMINALLING

The Firm provides legal support with respect to the movement of feedstocks and products, including via pipeline, rail, marine movements and land transports. The Firm is experienced in the development and operation of terminals, warehouses and transloading facilities. We have negotiated agreements for the construction of terminals, docks, gathering lines, crude and gas pipelines and warehousing facilities both domestically and internationally.

LIQUID NATURAL GAS

Members of the Firm have firsthand experience in negotiating Liquid Natural Gas (“LNG”) purchase and sale agreements both domestically and internationally. In particular we have been involved the development of an LNG terminal in Asia and the supply of LNG to a major cruise ship company in the United States.

RENEWABLE ENERGY AND TECHNOLOGY

The Firm is experienced in the growing green industries, including the negotiating of bio-based transactions with dairy farms and biowaste facilities, and the development of facilities for the manufacturing of renewable natural gas and renewable diesel. The Firm has also worked with companies developing solar and EV solutions. We have assisted our clients in developing a sustainability policy and provided legal support in their efforts and innovations to decrease the carbon footprint. In addition, the firm is also experienced in providing legal support to companies involved in the development of new biochemical technologies, including enzymes and biomedical nutrients.

MANUFACTURING

The Firm is experienced in the engineering, procurement and construction of manufacturing and industrial facilities. The firm has provided legal support for the purchase and sale of industrial assets and facilities; including the design, engineering and procurement of highly specialized equipment and manufacturing units. We have assisted in the preparation of RFPs and RFQs and the negotiation of competitively bid contracts, the structuring of inventory financing transactions, outsourcing agreements and the development of international warehousing agreements. We have drafted international Frame Agreements, Master Agreements, Services Agreements and General Terms and Conditions. We have also assisted our clients in developing on-boarding and site access agreements and generally are capable and experienced in supporting industrial operations.

COMMODITIES

The Firm is experienced in the purchase and sale of natural gas, jet fuel, ammonia, caustic soda, nitrogen, hydrogen, petroleum products (including gasoline, bunker fuel, diesel, propane, and butane), resins, chemicals, catalyst, RINs and LCFS credits. Transactions include exchange agreements, long-term supply agreements, general terms and conditions, and spot transactions.
